Munich (Germany), 13 October 2026. The international legal practice Osborne Clarke has provided comprehensive legal advice to OWG Holding GmbH on the agreed sale of its subsidiary Assmy & Böttger Electronic GmbH (A+B Electronic) to the Dutch Metis Group, as well as on the sale of the associated property. Metis Group, based in Eindhoven, is a portfolio company of financial investor Gimv. The acquisition of the German electronics service provider marks the group’s first expansion outside the Netherlands.
A+B Electronic is a provider of Electronic Manufacturing Services (EMS) specialising in printed circuit board assembly using SMD and THT technologies. Based in Großenkneten near Bremen, the company has more than five decades of experience in the electronics industry and focuses on complex, quality-critical applications. Its services range from prototype manufacturing to medium- and high-volume series production. With around 130 employees, A+B Electronic serves approximately 150 customers. The current managing directors, Bernadette Kirchrath and Sven Kapmeyer, will continue to lead the company.
The transaction gives A+B Electronic access to additional engineering expertise, a broader portfolio of technologies and services, and further manufacturing capacity. In turn, the company complements Metis Group with its longstanding EMS expertise, extensive manufacturing and assembly capabilities, and established customer base. The acquisition forms part of Metis’s buy-and-build strategy, which focuses on bringing together complementary electronics companies and sharing know-how and best practices. A+B Electronic strengthens the group’s presence in the German market and provides a platform for the further expansion of its European business.
For OWG Holding, the transaction represents another step in the strategic realignment of its investment portfolio. Completion remains subject to customary closing conditions, including the required merger control clearances.
Comprehensive advice on transaction structuring
Osborne Clarke provided OWG Holding with comprehensive advice on the corporate and contractual aspects of the company sale, as well as the related competition and tax law matters. The advice also covered the real estate aspects of the sale of the associated property. A cross-practice team therefore advised on both the corporate transaction and the property sale.
